Terms of Service

These Terms of Service (the "Terms") form an agreement between you and Codex42 Inc. covering your use of BlockDown. By creating an account, downloading the desktop app, or otherwise using BlockDown, you agree to these Terms. If you do not agree, please do not use the service.

Please also read our Privacy Policy, which explains what data we handle and why, and our Refund Policy, which explains when a payment can be refunded. Both are part of these Terms.

1. Who provides the service

BlockDown is a block-based markdown editor provided by Codex42 Inc., registered in Canada, with a business address at 2669 Southvale Cres, Ottawa, ON K1B 4V2, Canada. In these Terms, "we", "us" and "our" mean Codex42 Inc., and "you" means the person or organization using BlockDown.

2. Accounts and your credentials

You do not need an account to use the desktop app. To use the web app you register with an email address and a password. Google sign-in is currently disabled. You must give accurate information when you register, and you must be at least 13 years old, or old enough to enter a binding contract where you live.

You are responsible for your account. Keep your password private, do not share your login with other people, and use a password you do not reuse elsewhere. Anything done through your account is treated as done by you. Tell us at support@codex42.io as soon as you believe someone else has access to your account. We cannot recover documents lost because someone else got into your account.

One account is for one person. If you want several people on a team to have access, each person needs their own account.

3. Acceptable use

When you use BlockDown, you agree not to:

AI and grammar usage may be subject to fair use limits so that the service stays fast and affordable for everyone. If your usage is far outside normal single-person use, we may contact you, apply rate limits, or restrict the feature.

4. Plans

Desktop app (free). The BlockDown desktop app for Windows and macOS is free to download and use. It works fully offline, stores your files on your own computer, and does not require an account. It does not include AI, grammar checking, or cloud storage.

Free online account. A free account gives you up to 3 cloud documents that you can open from any browser. It does not include AI or grammar checking.

Pro ($9 per month). Pro includes the AI writer (generate, continue, summarize, improve), the spelling and grammar checker, unlimited cloud documents, and priority support.

We may add, change, or remove individual features over time as the product develops. If we remove something significant from a paid plan, we will tell you in advance.

5. Billing and subscriptions

Refunds are handled under our Refund Policy.

6. Price changes

We may change the price of Pro. If we do, we will give you at least 30 days notice by email before the new price applies to your subscription, and the new price will only take effect from your next renewal. If you do not want to pay the new price, you can cancel before the renewal date.

7. Your content

You own everything you write in BlockDown. We do not claim any ownership of your documents.

To run the service, you grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, copy, transmit, display, and process your content, and to pass the relevant text to the subprocessors described below when you use a feature that needs them. This license exists only so that we can operate and support BlockDown for you, and it ends when you delete the content or close your account, apart from copies held briefly in backups.

Cloud documents are stored on Mortarbase, a hosted Postgres, authentication, and storage platform that is compatible with Supabase. The web app is hosted on Vercel and the marketing site on Hostinger. We do not sell your content, and we do not use it for advertising.

You are responsible for having the rights to the content you upload, and for keeping your own copies of anything important. BlockDown lets you export your documents, and we recommend you do so regularly.

8. AI features

When you use an AI feature such as generate, continue, summarize, or improve, the text you selected or the text of your document is sent to Anthropic (the Claude API) so that a response can be generated and returned to you. Anthropic acts as a subprocessor for this feature. Your document text is not used to train models.

The spelling and grammar checker works in a similar way and needs the text you are checking to be processed by the service.

AI output is generated by a model and can be wrong. It may be inaccurate, outdated, biased, incomplete, or resemble other text. Treat it as a draft, not as fact, and never as legal, medical, financial, or other professional advice. You are responsible for reviewing, editing, and fact-checking anything you keep, and for making sure it is suitable for how you plan to use it. Similar prompts may produce similar output for different users, so we cannot promise that AI output is unique to you.

If you do not want your text sent to an AI provider, do not use the AI or grammar features, or use the offline desktop app instead.

9. Desktop app

The desktop app is provided free of charge for personal and commercial use. It runs on your own computer, works offline, and keeps your files where you save them. We grant you a personal, non-transferable license to install and use it. You may not decompile, modify, or redistribute the app, or remove any notices from it, except where the law allows this regardless of contract. Because the desktop app is free, we may change or discontinue it at any time, and it is provided with no warranty of any kind.

10. Availability

We work hard to keep BlockDown online, but we do not promise uninterrupted or error-free service. Maintenance, updates, failures at our hosting or AI providers, and events outside our control can all cause downtime. AI and grammar features depend on a third-party provider and may be unavailable or slow at times.

11. No warranty

BlockDown is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service, or any AI or grammar output, will be accurate, reliable, secure, or free of errors.

Nothing in these Terms limits rights you have as a consumer that cannot be limited under the law of your country.

12. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data, however caused.

Our total liability to you for all claims arising out of or relating to BlockDown, in any twelve-month period, is limited to the greater of the amount you actually paid us in the twelve months before the claim arose, or 50 US dollars. If you use only the free plans or the free desktop app, this means our liability is limited to 50 US dollars.

We are not liable for any decision you make, or any content you publish, based on AI output.

13. Suspension and termination

You can stop using BlockDown at any time, and you can delete your account from the account page. Deleting your account cancels any active subscription and removes your cloud documents, so export anything you want to keep first.

We may suspend or terminate your account if you break these Terms, if your use puts the service or other users at risk, if we are required to do so by law, or if payment for a paid plan is not made. Where it is reasonable to do so, we will warn you first and give you a chance to fix the problem. For serious breaches, such as illegal content or attacks on the service, we may act immediately.

If we terminate your account without cause, we will refund the unused part of your current paid period.

14. Changes to these Terms

We may update these Terms as BlockDown changes. When we make a material change, we will update the date at the top of this page and notify you by email or in the app before the change takes effect. If you keep using BlockDown after the change takes effect, you accept the updated Terms. If you do not accept them, you can cancel and stop using the service.

15. Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules. Any dispute that we cannot settle informally will be handled by the courts of the courts of the Province of Ontario, Canada. If you are a consumer, you may also have the right to bring proceedings in the country where you live.
